TRP Studios Wholesale Terms & Conditions

By placing a wholesale order with TRP Studios, the buyer acknowledges and agrees to the following terms.

ORDER MINIMUMS

A minimum order value of $500 is required for all wholesale orders.

Each style must meet the MOQ (Minimum Order Quantity) per SKU/color unless otherwise approved by TRP Studios in writing prior to order confirmation.

ORDER CONFIRMATION & DEPOSIT

A 30% deposit is required to confirm an order and begin processing, development, or production.

Orders are not considered confirmed until the required deposit has been received.

The remaining 70% balance is due prior to shipment, unless alternative payment terms have been approved by TRP Studios in writing.

PRICING

All wholesale pricing is quoted in USD unless otherwise stated.

Suggested retail prices (MSRP) are provided as recommendations only. Wholesale pricing may vary based on quantity, materials, customization, and program requirements.

TRP Studios reserves the right to correct pricing errors prior to order confirmation.

PRODUCTION & DELIVERY

Estimated production and delivery windows will be provided at the time of order confirmation.

Production timelines begin after all required approvals, deposits, artwork, specifications, and other necessary information have been received.

Delivery dates are estimates and may be affected by production, freight, customs, carrier delays, or other circumstances outside of TRP Studios' reasonable control.

CHANGES & CANCELLATIONS

Because wholesale orders may be produced or allocated specifically for the buyer, changes or cancellations must be requested in writing within 24 hours of order confirmation and are subject to TRP Studios approval.

Once production has begun, deposits are non-refundable, and the buyer may be responsible for costs already incurred or committed on their behalf.

CUSTOM & PRIVATE LABEL ORDERS

Custom, exclusive, and private-label orders may require separate MOQs, pricing, development fees, sampling costs, deposits, and production timelines.

Production will not begin until required specifications and samples have been approved.

Buyer-approved designs, materials, colors, packaging, artwork, and samples will serve as the production standard. Reasonable variations inherent to manufacturing, materials, plating, stones, and handmade processes may occur.

SHIPPING

Shipping, freight, duties, taxes, customs fees, and related charges are the responsibility of the buyer unless otherwise agreed in writing.

Any visible shipping damage or discrepancies should be reported to TRP Studios promptly upon receipt.

RETURNS & CLAIMS

Wholesale orders are considered final sale unless merchandise is defective, damaged, or materially different from the approved order.

Claims regarding defective, damaged, missing, or incorrect merchandise must be submitted within 7 days of delivery and should include the order number, affected quantities, and supporting photographs where applicable.

Approved claims may be resolved through replacement, repair, merchandise credit, or refund at TRP Studios' discretion.

PAYMENT

Orders must be paid according to the terms stated on the applicable invoice or order confirmation.

TRP Studios reserves the right to pause production, withhold shipment, or cancel an order if required payments are not received when due.

INTELLECTUAL PROPERTY & CONFIDENTIALITY

TRP Studios retains ownership of its proprietary designs, concepts, samples, CADs, technical specifications, development materials, and other intellectual property unless ownership is expressly transferred through a separate written agreement.

Custom or exclusive development does not automatically transfer ownership of TRP Studios intellectual property or manufacturing resources.

Pricing, sourcing information, supplier information, development materials, and other non-public information provided by TRP Studios are confidential and may not be shared with third parties without authorization.

RESALE

Wholesale purchases are intended for approved retail or commercial resale. Buyers may not reproduce TRP Studios designs, use TRP Studios intellectual property for unauthorized manufacturing, or represent themselves as TRP Studios or an authorized agent of TRP Studios.

ACCEPTANCE OF TERMS

Submission of an order and/or payment of a deposit constitutes acceptance of these Wholesale Terms & Conditions and any additional terms stated on the applicable quote, invoice, purchase order confirmation, or private-label agreement.

TRP Studios reserves the right to update these terms from time to time. The terms applicable to an order will be those in effect when the order is confirmed.
